TERMS AND CONDITIONS OF SERVICE

1. Payment Terms

All invoices are Net 30 days from the date of invoice unless otherwise agreed in writing.

  • Past due balances may be subject to interest charges of 1.5% per month (18% annually) or the maximum allowed by law.
  • Powderworx615 reserves the right to suspend work or withhold shipments on accounts with outstanding balances.
  • Customer agrees to pay all reasonable costs of collection, including attorney’s fees, if applicable.

2. Quotations & Pricing

  • All quotes are valid for 30 days unless otherwise stated.
  • Pricing is based on information provided at time of quote.
  • Any changes in part condition, quantity, coating specification, or scope may result in revised pricing.

3. Part Condition Requirements

All parts submitted must meet the following minimum standards:

Standard Expectations:

  • Free of oil, grease, and cutting fluids
  • Free of heavy rust, mill scale, or corrosion
  • No coatings requiring removal unless disclosed
  • Suitable for immediate processing through standard pretreatment and coating line

4. Acceptable Conditions (No Additional Charge)

  • Light oxidation removable during normal pretreatment
  • Clean, dry parts with no visible contaminants
  • Previously coated parts disclosed and approved in advance

5. Non-Acceptable Conditions / Back Charges

Parts will be rejected without prior receipt of customer PO. Parts requiring additional labor, materials, or processing time may incur additional charges, including:

  • Heavy rust, pitting, or scaling
  • Oil, grease, or residue not removed prior to arrival
  • Weld slag, spatter, or fabrication debris
  • Undisclosed coatings
  • Parts disrupting normal production flow:

Powderworx615 will communicate corrective actions when feasible prior to proceeding.

6. Chargeable Services

Additional charges may include:

  • Abrasive blasting
  • Grinding, sanding, or scraping
  • Chemical stripping or extended pretreatment
  • Re-handling due to contamination, QC non-compliance, and /or condition issues

7. Customer Responsibilities

Customer is responsible for:

  • Accurate disclosure of part condition
  • Ensuring parts meet cleanliness standards
  • Identifying materials and special handling needs
  • Proper packaging and protection during transport

8. Quality Disclaimer

Powderworx615 is not responsible for defects caused by:

  • Subsurface corrosion or contamination
  • Improper fabrication or material defects
  • Inadequate pre-cleaning by customer

9. Lead Times & Delivery

  • Lead times are estimates and not guaranteed.
  • Powderworx615 is not liable for delays due to material shortages, equipment issues, weather, or force majeure events.
  • Customer is responsible for freight unless otherwise agreed.

10. Risk of Loss & Title

  • All materials remain the property of the customer.
  • Risk of loss transfers to the customer upon delivery or pickup.
  • Powderworx615 is not responsible for damage occurring during transit.

11. Storage & Abandonment

  • Finished goods not picked up within 15 days may be subject to storage fees.
  • Items left beyond 60 days without communication may be considered abandoned and subject to disposal.

12. Limitation of Liability

  • Liability is limited to the value of services performed.
  • Powderworx615 is not liable for indirect, incidental, or consequential damages including lost profits or production delays.

13. Warranty

  • Powderworx615 warrants workmanship only for 1 year after date of completion unless specified in writing.
  • No warranty is expressed or implied regarding product performance outside of coating application unless specified in writing.
  • Customer is responsible for ensuring coating selection meets application requirements.

14. Indemnification

Customer agrees to indemnify and hold harmless Powderworx615 from claims arising from:

  • Improper part design or fabrication
  • Undisclosed materials or coatings
  • End-use application failures

15. Governing Law

These terms shall be governed by the laws of the State of Tennessee.

16. Entire Agreement

These Terms & Conditions constitute the entire agreement unless otherwise modified in writing by both parties.

17. Acceptance

Submission of parts for processing constitutes acceptance of these Terms & Conditions.
